General tax advice to individual and businesses, including tax planning, employee/independent contractor classification, U.S. residency status, withholding tax requirements, property taxes, gross receipt taxes and state taxation and nexus issues.

Tax Controversy. We are able to effectively assist clients in a wide variety of federal, state and local state controversies relating to the income tax, sales and use taxes, gross receipt taxes and property taxes. We are able to represent both domestic and foreign clients in tax audits and examination by the Internal Revenue Service, the California Franchise Tax Board, the California Employment Development Department, the California State Board of Equalization, and other state taxing authorities.

Negotiating numerous employment tax disputes with the Internal Revenue Service, the California Employment Development Department, and other state agencies. Expertise in controversies involving whether an employer has properly classified one or more of its workers as an employee or independent contractor.

Tax-Exempt Organizations. Our attorneys provide counsel to tax-exempt organizations, advising on a broad range of issues, including federal and state tax-exempt status compliance, unrelated business taxable income, excise taxes and executive compensation and employee benefits.

Employee Stock Ownership Plans (ESOPs). We provide legal consultation for a wide variety of ESOP transactions. We also have experience representing banks, ESOP fiduciaries and ESOP Plan administrators.

Employee Benefits and Executive Compensation. We have substantial expertise in federal tax, labor and securities law in creating qualified retirement plans, deferred compensation, executive compensation and welfare plans.

Qualified and Welfare Benefit Plan Compliance. Our attorneys provide value based legal consultation on compliance issues related to qualified plans, including 401(k) and cash balance plans, and welfare benefit plans.
