Sabra Gandhi

Ms. Gandhi is a general corporate and securities lawyer. She practices in the fields of private equity, mergers and acquisitions, capital markets, corporate finance and corporate and securities law compliance.

Ms. Gandhi counsels clients with respect to a wide variety of business transactions, including corporate formation, private equity fund formation, the sale, purchase and merger of companies, private and public debt and equity offerings and the negotiation of joint ventures and similar arrangements.

She regularly drafts, and provides advice regarding, complex agreements, including merger and acquisition agreements, financing agreements, joint venture agreements and shareholder agreements, among others. She also provides advice regarding compliance with U.S. securities laws, including the Securities Act, the Exchange Act, the Investment Company Act and the Advisers Act and the various rules and regulations thereunder.

Ms. Gandhi began her legal career at Cleary Gottlieb Steen and Hamilton LLP in New York where she practiced in the corporate group from 2001 to 2007. She also spent time in Cleary Gottlieb’s Tokyo and Hong Kong. In 2008, Ms. Gandhi joined Proskauer Rose LLP as a member for the corporate group in the Los Angeles office.

Ms. Gandhi received her J.D., cum laude, from the Harvard Law School and her B.A., cum laude, from Columbia University. She is admitted to practice in California and New York.
